This document (hereinafter, the "Terms") governs access to and use of the irene platform (hereinafter, the "Platform"), a clinical intelligence tool. By accessing or using the Platform, the User acknowledges and fully accepts these Terms. If the User does not agree, they must refrain from using the Platform.
These Terms set out the conditions governing access to and use of the Platform, as well as the rights and obligations of the parties. The Platform is offered as a tool to support the management and organization of clinical information.
For the purposes of these Terms, the following terms shall have the meaning indicated below:
The Platform is a clinical decision support tool and in no case replaces professional medical judgment, diagnosis, or treatment. The information presented is indicative in nature, and the clinical decision always rests with the attending physician. The Platform does not provide emergency services. In a medical emergency, the User must immediately contact local emergency services. Use of the Platform does not create a doctor-patient relationship between the User and irene.
Access is carried out through individual accounts with different roles (administrator, physician, and patient), each with differentiated permissions. The User is responsible for the confidentiality of their credentials and for all activity carried out under their account, and undertakes to report any unauthorized use without delay. Accounts are personal and non-transferable.
The User agrees to use the Platform in accordance with the law, these Terms, and good faith. In particular, the User shall refrain from: (i) accessing information that they do not own or are not authorized to access; (ii) compromising the security or integrity of the Platform; (iii) introducing malicious code; (iv) reproducing, reselling, or exploiting the Platform without authorization; and (v) using it for unlawful purposes or to harm the rights of third parties.
The User may upload documents and data (studies, labs, images, measurements). The User represents that they have the necessary standing to provide such information and warrants its accuracy. The processing of personal data is governed by the Privacy Policy and by Law No. 172-13.
The Platform allows the User to link, on a voluntary basis, third-party devices and services (for example, Whoop, Oura, Ultrahuman, or Apple Health) through authorization protocols (OAuth). The connection requires the express consent of the User, who authorizes the Platform to access only the data covered by the permissions granted, for the purpose of displaying it within their own record. The User may revoke that connection at any time. Use of those services is further subject to the terms and policies of their respective providers. Data obtained from devices is neither sold nor shared with third parties.
The Platform, its software, design, brand, and other elements are owned by irene or its licensors and are protected by applicable law. These Terms do not transfer to the User any intellectual property right, other than the limited and revocable right to use the Platform in accordance with what is agreed herein. The User retains ownership of the data they provide.
The processing of personal data carried out through the Platform is governed by the Privacy Policy, which forms an integral part of these Terms, and by Law No. 172-13 on the Comprehensive Protection of Personal Data of the Dominican Republic.
The Provider endeavors to keep the Platform available and secure but does not warrant that the service will be uninterrupted or error-free. The Platform is provided "as is" and "as available". The Provider may carry out maintenance, updates, or improvements that temporarily affect availability.
To the maximum extent permitted by law, the Provider shall not be liable for indirect, incidental, or consequential damages arising from the use of, or inability to use, the Platform. Nothing in these Terms excludes liability that cannot be limited under applicable law. It is reiterated that the Platform is a support tool and does not replace professional medical judgment.
The Provider may suspend or terminate the access of a User who breaches these Terms, or when necessary for security or legal reasons. The User may cease using the Platform at any time. Termination does not affect the obligations to retain clinical information imposed by applicable law.
The Provider may amend these Terms to adapt them to regulatory, technical, or operational changes. The current version, indicating its effective date, shall remain published at this same address. Continued use of the Platform after publication implies acceptance of the current version.
These Terms are governed by the laws of the Dominican Republic. Any dispute arising from their interpretation or application shall be submitted to the competent courts of the Dominican Republic.
